Management

GP Investments’ board of directors is its collegiate decision-making body, responsible for the overall direction of its business, including its long-term investment guidelines. Among other duties, the company’s board of directors is responsible for appointing one or more directors for the position of managing director or CEO of the company, who shall, subject to its monitoring, supervise and manage all business and matters related to GP. The board of directors is currently composed of seven members, three of whom are independent. All are elected at general meetings for a term of 2 years, re-election permitted.

Board of Directors

Fersen Lambranho - Chairman

Mr. Lambranho is Chairman of GP Investments. He joined the firm in 1998 and became a managing director in 1999. Prior to joining GP, Mr. Lambranho was CEO of Lojas Americanas, where he worked for 12 years. He was also a board member from 1998 to 2003.

Mr. Lambranho currently serves on the boards of Centauro, GP Advisors, Spice Private Equity, LEON Restaurants and RHI-Magnesita. He is also a board member of several non-profit entities, such as Fundação Bienal de São Paulo, the São Paulo Museum of Art and COPPEAD-UFRJ.

He has previously served as chairman of the boards of Oi, Contax, Gafisa, ABC Supermercados and Magnesita. In addition, he previously served on the board of BRMalls, San Antonio, Allis, BHG, Estácio, BRZ Investimentos, Tele Norte Leste Participações, São Carlos Empreendimentos e Participações, Playcenter, Shoptime, Farmasa, BR Properties and Americanas.com.

Mr. Lambranho holds a bachelor’s degree in civil engineering from the Universidade Federal do Rio de Janeiro and a Msc degree in business administration from COPPEAD-UFRJ. He also completed the Owner President Management Program at the Harvard Business School.

Alfred Vinton

In addition to GP’s board, Alfred Vinton is a member of the boards of directors of several companies, including Hochschild Mining PLC, a Peruvian company listed on the London Stock Exchange, and Dinamia Capital Privado SCR, a Spanish investment company also listed on the stock exchange.

From 1995 to 2009, Mr. Vinton was the chairman of Electra Partners Limited, an international fund management company specializing in private equity, and of Lambert Howarth Group plc. Mr. Vinton previously worked for J.P. Morgan Chase Bank in the United States, South America and London and was senior vice president responsible for bank operations in the United Kingdom, Ireland and Scandinavia.

Álvaro Lopes

Mr. Lopes is a member of GP’s board of directors. He served as GP’s Chief Financial and Investor Relations Officer from 2012 until 2018 and currently serves as a member of the board of directors of Spice Private Equity Ltd. Mr. Lopes previously served as a member of the board of directors of Wiz Soluções, GP Advisors and BRZ Investimentos.

He was also the CFO of Genesis Investments, CEO of Mercure Investments, vice-president of Prudential/Wachovia Securities and EVP, COO, CEO of Banco Bozano, Simonsen SA and its affiliates. Mr. Lopes holds a bachelor’s degree in economics and business administration from Faculdade de Ciências Políticas e Econômicas do Rio de Janeiro and an MBA from COPPEAD-UFRJ.

Antonio Bonchristiano

Mr. Bonchristiano is a member of the board and CEO of GP Investments. He joined GP Investments in 1993 and has been a Managing Director since 1995. Prior to joining GP Investments, Mr. Bonchristiano was a Partner at Johnston Associates Inc., a finance consultancy based in London, and worked for Salomon Brothers Inc. in London and New York.

Currently, he serves as a member of the boards of directors of AMBEV, BR Properties and Rimini Street. Mr. Bonchristiano is also on the board of several non-profit organizations, including: Fundação Estudar in São Paulo, Brazil, John Carter Brown Library (Boston, USA) and Bodleian Library (Oxford, UK). Previously, he served as a member of the boards of directors of BHG, Estácio, LAHotels, Sé Supermercados, ALL, Kuala, CEMAR, ABC Supermercados, Gafisa, Hopi Hari, Submarino, Equatorial, Geodex Communication, Sascar, BRMalls, Tempo, Magnesita Refratários, San Antonio International and Playcenter.

He was also previously the Chief Financial Officer of SuperMar Supermercados and Founder and Chief Executive Officer of Submarino. He was further vice-chairman of the board of directors of BR Properties, director of Geodex Communication, Contax Participações and IRO of ABC Supermarkets and GP Investments, Ltd.. Mr. Bonchristiano holds a bachelor’s degree in Politics, Philosophy, and Economics from the University of Oxford.

Cristopher Wright

Mr. Wright is a former Management Board member of Dresdner Kleinwort and headed its global private equity activities. He is a director of Merifin Capital Group, a private European investment firm, and serves as Chairman of EMAlternatives in Washington DC.

Mr. Wright also serves as a co-founding board member of Roper Technologies Inc (NYSE) and as a non-executive director of Yatra Capital (Euronext). Finally, Mr. Wright is a Board Member of Spice Private Equity AG., and an Advisory Director of Campbell Lutyens Co Ltd, an investment banking firm.

Danilo Gamboa

Mr. Gamboa joined GP in 2004 and has been a managing director since 2006. Prior to joining the firm, he worked for Submarino and Gradus Management Consultants. In addition to being a member of the board of directors of GP Investments, he is a member of the boards of Centauro and Allis. He also served as a board member of Fogo de Chão, Tempo, Submarino, LAHotels, ALL, Leitbom, Hypermarcas and Gafisa.

Mr. Gamboa holds a bachelor’s degree in industrial engineering from the University of São Paulo and an MBA from the MIT Sloan School of Management.

Michael Calvey

Michael Calvey is the founder and partner of Baring Vostok, as well as a member of the board of directors of the company. He is also a member of the board of Vostok Capital.

Mr. Calvey is investment committee’s chairman for all of Baring Vostok’s funds also a member of the investment committees of affiliated Baring funds in China and India. In addition, Mr. Calvey sits on the boards of directors of the Atlantic Council and the Emerging Markets Private Equity Association.

Antonio Bonchristiano - CEO

Mr. Bonchristiano is a member of the board and CEO of GP Investments. He joined GP Investments in 1993 and has been a Managing Director since 1995. Prior to joining GP Investments, Mr. Bonchristiano was a Partner at Johnston Associates Inc., a finance consultancy based in London, and worked for Salomon Brothers Inc. in London and New York.

Andrew Fleiss

Mr. Fleiss joined GP in 2015 as a managing director based in New York. He has approximately 20 years of experience in private equity and investment banking. Prior to joining GP, Mr. Fleiss worked at Liberty Partners, a private equity firm focused on control investments in industrial, consumer, healthcare and education companies. Prior to joining Liberty Partners, Mr. Fleiss worked in the investment banking division of UBS Warburg. Mr. Fleiss serves as a member of the board of directors of Rimini Street, Inc. Mr. Fleiss holds a bachelor’s degree from Amherst College.

Danilo Gamboa

Mr. Gamboa joined GP in 2004 and has been a managing director since 2006. Prior to joining the firm, he worked for Submarino and Gradus Management Consultants. João Junqueira

Mr. Junqueira joined GP Investments as an associate in 2008. In 2010 he became CFO and Investor Relations officer of the company before returning to the investment team in May of 2012 as an officer. In 2014 he became a Managing Director of the company.

He currently serves on the board of Centauro, Allis, EBAM, Magnesita  and San Antonio Internacional,  and previously served on the boards of BHG and BR Towers. Prior to joining GP Investments Mr. Junqueira worked for six years as a strategy consultant for Accenture. He holds a bachelor’s degree in materials engineering from the University of São Paulo and an MBA with honors from the University of Pennsylvania, Wharton School of Business.

Mara Elisa Pedretti

Ms. Pedretti joined GP in 1997 as a trainee and, since 2001, she has been head of the company’s legal department. She became managing director in August 2008. She is currently a member of the board of directors of GP Advisors.

Graduated in Law, with a post-graduate degree in business law from the Pontifícia Universidade Católica in São Paulo, Mara Elisa holds an MBA in financial and capital markets from IBMEC (Instituto Brasileiro de Mercado de Capitais).

Rodrigo Boscolo

Rodrigo Boscolo is a Managing Director and the Chief Financial Officer at GP Investments. Boscolo’s role encompasses deploying the firm’s proprietary capital in North America and Europe, as well as managing the firm’s global finance, treasury, technology, investor relations and corporate development functions.

Since joining GP Investments in 2010, Boscolo has led or was involved in multiple transactions in a broad range of geographies and industries, particularly in the technology, business services, consumer, restaurants and retail sectors. Boscolo also served on the board of directors of several portfolio companies, including Leon Restaurants, Magnesita, Allis, Sascar and BRZ Investimentos. Previously, co-founded a group travel platform and worked as a consultant at The Boston Consulting Group. A graduate of the University of Pennsylvania, Boscolo earned an M.B.A. from the Wharton School and an M.A. in International Studies from the School of Arts and Sciences at the Lauder Institute. Also holds a M.S. from Euromed Management, in Marseille, France and a bachelor‘s degree in business from University of Sao Paulo.

Rubens Freitas

Rubens Freitas joined GP Investments in 2006 and since 2014 is the Managing Director responsible for Private Equity Real Estate and for Special Situations. Over the past twelve years at GP, Mr. Freitas has led transactions totaling more than USD2 billion in numerous sectors, mostly within Real Estate, Consumer Goods, Telecom and Insurance sectors.

Mr. Freitas is the Chairman of the Board of Directors of BR Properties and Chairman of the Board of BHG – Brazil Hospitality Group. Previously, he has been a member of the Board of Directors of BR Properties, Gafisa, Telemar, Contax and Tempo Participações.

In 2009-2010, Mr. Freitas held the position of Chief Financial Officer of dairy producer Leitbom, a GP portfolio company at the time. Before joining GP, Mr. Freitas was a consultant at Roland Berger Strategy Consultants during five years. He is a Mechanical-Aeronautics Engineer, graduated from ITA, with MBA with Honors from Harvard Business School.

Thiago Rodrigues

Mr. Rodrigues joined GP as an associate in 2006, became a managing director in August 2008. He is also chairman of the board of directors of EBAM and a member of the board of directors of RHI Magnesita, Allis and Beleza Natural. He was CFO and investor relations officer at Magnesita from July 2009 to March 2010.

He also served as the CFO of GP Investments and as a member of the board of directors of BR Properties, Fogo de Chão and Tempo. Prior to joining GP, Mr. Rodrigues worked for six years as associate at AIG Capital Partners, subsidiary of the American International Group, Inc. He holds a bachelor’s degree in civil engineering from the University of São Paulo.
